We provide legal consultancy and attorney services in accordance with the requirements of companies within the context of share transfers, mergers and acquisitions, risk appraisal from legal point of view in advance of merger and acquisition, spin-off, changing company type and applications to the independent authorities (Competition Authority, Capital Markets Board, Banking Regulation and Supervision Agency).
Litigation and Dispute Resolution
We provide legal services for disputes arising from various origins of obligation (contract, tortious act, unjust enrichment) to settle the disputes by way of alternative dispute resolution methods such as mediation or arbitration or litigation and execution for debt and also for applications and cases which are in the scope of administrative and tax law. We, also, provide legal services for recognition and enforcement of foreign judgments and arbitral awards in Turkish Courts.In addition to the disputes before the courts, we also represent our clients before national arbitration institutions such as TOBB (Turkish Union of Chambers and Commodity Exchanges), ISTAC (Istanbul Arbitration Center), ITOTAM (Istanbul Chamber of Commerce Arbitration Institution).
Commercial and Corporate Law
Commercial law is a broad branch of law including law of commercial enterprise, negotiable instruments law, insurance law and corporate law.
It is crucial for companies in terms of its continuity and economic development to foresee financial and legal obligations that will arise out of business and actions of corporations and to mitigate the risks.
As Kocaeli is one of the important industrial production centers in Turkey where there are intense import and export operations, this environment brings along agreements including international and foreign elements. In this sense, knowing governing law (Turkish Law, German Law etc) and the applicable legislation (Code of Obligations, CISG etc) which the dispute shall be subject to, becomes a requirement and mandatory in certain circumstances.
Our primary goal is to minimise the number of disputes by providing legal service in advance of such dispute and also to provide legal service in solving the disputes which are already taken place by way of litigation or alternative dispute resolution.
Industrial Property Law
Industrial property rights which are separately and independently regulated with governmental decrees until 10.01.2017, has been brought together with effectiveness of the Industrial Property Law No 6769. Fundamental regulations concerning industrial property rights which particularly are brand, patent, petty patent and industrial design rights subjected to separate international conventions, are taken place in Industrial Property Law, bylaws and international treaties. We provide a comprehensive legal counselling and litigation services on industrial property law, particularly bringing lawsuits for infringement, invalidity and action for nullity and follow-up of all said cases before the courts with regards to brand, patent, industrial design rights and petty patent.
Administrative and Tax Law
We provide legal consultancy services within the scope of administrative related transactions of the real persons and legal entities and their financial obligations against the administrative authorities. We also provide litigation and related legal services covering the period from the application before administrative court and tax courts to the end of such proceedings.
Law of Property
Fundamentals of property law regarding the relationship between persons and his/her movable and immovable properties has been defined in Turkish Civil Law No: 4721. We provide legal counselling to clients on such Law including preparation and execution of agreements such as possession agreements, agreements regarding land registry and agreements regarding right in rem bearing real estate sale, preliminary real estate sale, construction in return for land share, remittent agreements, collateralize and release and also, provide litigation services on disputes arising from such transactions.
The fundamental rules, principles concerning law of property which covers the relationship between the persons and movable and immovable properties are regulated under Turkish Civil Code No 4721. We provide legal counselling and litigation services in preparing contracts and for its applications with regards to possession, title registration, rights in rem, particularly sale of real property, promise of sale, construction in return for land share, executed gift, establishing hypothec and cancellation of hypothec.
Inheritance Law
Inheritance Law is a type of law branch that deals with passage of person’s rights and obligations and other legal relationships at his or her death. Right of succession which protected under Article 35 of the Constitution and other essentials of inheritance law is governed by Turkish Civil Law No: 4721. We are providing legal services including preparation and execution of wills and inheritance agreements and also providing assistance on subjects including debarment from inheritance, renunciation of inheritance and certificate of inheritance. Also, we are providing litigation services for lawsuits such as reduction and equalization, abatement of will and revocation of will.
Inheritance Law handles rights and debts and other legal relations which do not terminate with someone’s death but are suitable to be inherited. The main regulations concerning the inheritance law and the right of inheritance which is legally protected with Article 35 of the Constitution, are set out in the Turkish Civil Code no 4721. We provide legal counselling services on testament, drafting inheritance contracts and its fulfilment, renunciation of the inheritance, debarment from inheritance, certificate of inheritance and we provide litigation services in court cases such as action for reduction, offsetting, cancellation and invalidity of testamentary disposition.
Consumer Law
Definition of “Consumer Transaction” and scope of Consumer Law has broadened with the enactment of Consumer Protection Law No:6562 which regulates the fundamentals of consumer protection.
We provide legal and attorney services for consumer law related disputes including but not limited to defective goods and services, consumer loan agreements, consumer property sales with prepaid or installments, mortgage agreements.
With entry into force of Law on the Protection of the Consumer numbered 6502 in which fundamental regulations are set out concerning consumer law, definition of the “consumer transaction” and the field of application of the consumer law expanded considerably.
We provide legal counselling and litigation services in disputes arising out of defective goods and services, consumer loan agreements, prepaid and on instalments house sales and housing finance agreements in particular.
Employment Law
Subject of the employment law is the relationship between employee and employer, which branch of law considerably tends to create disputes. We provide legal counselling services that covers the whole process from signing to termination of collective bargaining agreements and employment contracts which the content is determined and also in respect of preparing required contract and notice of termination documents in the context of service agreements. In addition, we provide preventive litigation services for fulfilment of payment obligation regarding employees’ claims by legally provable means and for protection of both employees’ and employers’ rights and interests. We represent our clients in mandatory mediation meetings and in court cases before the relevant courts.
Commercial Criminal Law
